Crypto tokens generally fall into three functional types: utility tokens that grant access to a service, security tokens that represent an investment contract or ownership stake, and governance tokens that grant voting rights over a protocol. The category shapes both how a token is used and how it may be regulated, and it sits inside the wider world of crypto tokens. The category is not just semantics: the US Securities and Exchange Commission treats assets that function as investment contracts as securities, whatever they are called.
The three types
Utility tokens are designed to be used within a specific platform, like paying for a service or unlocking a feature. Security tokens represent a financial interest, similar to a share or bond, and are treated accordingly under securities law in many jurisdictions. Governance tokens give holders voting power over decisions in a decentralized protocol.
It is worth understanding where this taxonomy came from, because it explains why it fits reality so poorly. The categories were not derived from studying what tokens do. They were largely invented during the 2017 boom as a way to argue that a token was not a security, since calling something a utility token was an attempt to place it outside securities law rather than a description of its function. The vocabulary is part legal argument, part marketing, and only part engineering.
Which is why real tokens refuse to sit in one box. A governance token that also entitles holders to a share of protocol revenue is functionally a security wearing a governance label. A utility token bought by people who plainly expect the price to rise is, in the eyes of a regulator, an investment regardless of what it unlocks. The categories describe intentions more reliably than they describe assets.
Examples
A token used to pay network fees or access a specific app's features is typically utility-focused. A token representing fractional ownership of a real-world asset leans toward a security. A token that lets holders vote on a DeFi protocol's parameters is a governance token.
Governance tokens deserve a closer look, because they are the category where the gap between the pitch and the practice is widest. The promise is that holders collectively steer the protocol, voting on parameters, treasury spending, and upgrades. The reality, in most protocols, is that voter turnout is very low and voting power tracks token holdings, which means a small number of large holders decide outcomes while everyone else's vote is decorative.
Which does not make them worthless, just frequently oversold. A governance token with real influence over a real treasury is a meaningful thing to hold. A governance token whose votes are advisory, or whose founders retain enough supply to win every vote, is a participation trophy with a market price.
Regulatory notes
Whether a given token counts as a security depends on the specific legal test applied in each jurisdiction, not just its marketing label. This is an evolving and often contested area, and classification can have real consequences for how a token is issued and traded.
In the US, the test that matters is the Howey test, and it is older than the internet: an arrangement is an investment contract if there is an investment of money, in a common enterprise, with an expectation of profit, derived from the efforts of others. Nothing in that sentence mentions technology, and that is the point. Calling a token a utility token does not exempt it any more than calling a share a membership token would. What matters is what the arrangement actually does and what buyers were led to expect.
The consequences of classification are practical rather than theoretical. A token deemed a security in a given jurisdiction generally has to be registered, sold under an exemption, and traded on licensed venues, which is expensive and slow. This is why tokens get delisted from exchanges in some countries and not others, why some projects exclude US buyers entirely, and why so much energy goes into arguing about a label that sounds like semantics.
For anyone holding rather than issuing, the useful takeaway is narrower than the debate suggests. You are not going to resolve the classification question, and you do not need to. What you need to know is that the label a project uses tells you nothing reliable, that regulatory reclassification is a genuine risk to a token's liquidity, and that the sharper question is always the same one: what does holding this actually entitle me to, and who is obliged to deliver it? Most tokens answer that with silence.
A more useful way to sort tokens
Since the three categories are partly a legal argument, it helps to have a second lens that describes what a token actually does. Three questions get you further than the labels do.
- Is the token required, or optional? A token you must hold to use the network, because fees are paid in it, has structural demand behind it. A token you can ignore while using the product exists mainly because issuing one was how the project raised money.
- Does anything flow to holders? Fee revenue, a share of a treasury, buybacks. If nothing does, the token's value rests entirely on someone else paying more later, which is a legitimate bet and worth naming as one.
- Can holders actually change anything? If the founders retain enough supply to win every vote, governance is a formality, and the honest description is a token with a voting-shaped feature attached.
Those three cut across the official categories and predict considerably more. A utility token that nothing requires and a governance token that governs nothing are the same asset wearing different labels, and the market eventually treats them that way.
Worth noting that the categories are not exclusive, either, and the most successful tokens deliberately blur them. A single token can pay fees, confer votes, and entitle holders to revenue all at once, which is exactly the design most protocols aim for and exactly what makes classification contentious. The label a project picks is usually the one with the least regulatory friction, not the one that describes the most of what the token does.
